These Terms of Service govern your use of Tacey: AI Order Agent, a Shopify application operated by ONDUTYOPS LLC. By installing or using Tacey through your Shopify store, you agree to be bound by these Terms. If you do not agree, you must not install or use the application.
These Terms form a legally binding agreement between you, as the merchant, and ONDUTYOPS LLC. Your use of Tacey is also subject to Shopify's own terms and policies, as the application operates entirely within Shopify's platform and relies on its infrastructure for billing and data access.
You acknowledge that Tacey processes order data on your behalf and that your use of the service must comply with all applicable laws and regulations. Continued use of the application after any updates to these Terms constitutes acceptance of those changes.
Tacey is a Shopify application that operates exclusively at the webhook layer, specifically through the orders/create webhook. When a customer places an order on your store, Tacey automatically evaluates the shipping address using AI reasoning and returns one of three outcomes: PASS, AUTO_RESOLVE, or FLAG. These outcomes determine whether the order proceeds, is corrected automatically, or is held pending customer action.
The application does not modify the checkout process, does not inject any user interface into your storefront, and does not process payments. Tacey accesses store data only through official Shopify APIs, including the Admin GraphQL API, Shopify Flow API, and Shopify Webhooks.
Tacey may send automated communications to customers, such as fix emails or escalation messages, and may notify merchants via SMS or voice calls depending on the selected plan. All actions taken by Tacey are based on the data available at the time of order processing and the merchant's configuration.
Access to Tacey requires an active Shopify store and installation through the Shopify App Store. You are responsible for maintaining the security of your Shopify account and for ensuring that only authorized individuals have access to your store and its connected applications.
Tacey operates based on permissions granted during installation. These permissions allow access to specific store data required to provide the service. You agree not to interfere with or attempt to restrict these permissions in a way that would prevent the application from functioning as intended.
ONDUTYOPS LLC reserves the right to restrict or suspend access to the service if unauthorized use is detected or if access is being used in a manner that violates these Terms. Access may also be limited if required to maintain the integrity or security of the service.
All billing for Tacey is handled entirely through Shopify's billing infrastructure. ONDUTYOPS LLC does not directly charge merchants, issue invoices, or process payments. When you subscribe to a paid plan, charges are applied to your Shopify account in accordance with Shopify's billing cycle.
The available plans include Scout, Agent, and Commander, each with defined pricing and usage limits. Your selected plan determines the number of orders processed per billing period and the level of service provided. Any changes to your plan are managed through Shopify and take effect according to Shopify's billing rules.
Because billing is managed by Shopify, all questions related to charges, refunds, or billing disputes must be directed to Shopify. ONDUTYOPS LLC does not issue refunds directly and does not override Shopify's billing policies.
Tacey offers a 7-day free trial for all plans. During this period, you can use the application without being charged, allowing you to evaluate its functionality within your store environment.
The free trial is managed through Shopify's billing system. No separate payment information is collected by ONDUTYOPS LLC. If you continue using the application after the trial period ends, Shopify will automatically begin billing according to the selected plan.
You are responsible for monitoring the trial period and uninstalling the application if you do not wish to continue. Failure to uninstall before the trial ends results in standard billing through Shopify.
You agree to use Tacey only for lawful purposes and in connection with legitimate commercial activity within your Shopify store. You must not use the service in a way that violates any applicable laws, infringes on the rights of others, or interferes with the operation of the application.
You must not attempt to manipulate, reverse engineer, or exploit the AI decision-making process. You also agree not to use the service to process fraudulent orders or to intentionally misrepresent customer information.
ONDUTYOPS LLC reserves the right to investigate suspected misuse and to take appropriate action, including suspension or termination of access. This is necessary to maintain the reliability and integrity of the service for all merchants.
Tacey provides address validation and AI-based reasoning as a decision-support tool, but it does not guarantee accuracy. AI outputs are probabilistic, and while the system is designed to improve order quality, it may occasionally produce incorrect outcomes. Orders may be passed despite issues or flagged despite being valid.
Address validation functionality is currently limited to the United States, Canada, and Mexico. Orders from other regions are processed using AI reasoning without full validation support. Coverage may expand in the future, but no guarantees are made regarding availability or performance in specific regions.
Tacey does not guarantee successful delivery of any shipment and does not assume responsibility for fulfillment outcomes. The duration that an order remains on hold is controlled by the merchant, and all final decisions regarding order release remain with the merchant.
You are the data controller for all customer data processed through your Shopify store. By installing Tacey, you authorize ONDUTYOPS LLC to process this data on your behalf solely to provide the service. You remain responsible for ensuring that your use of the application complies with applicable data protection laws.
You must maintain a privacy policy that accurately discloses your use of third-party applications, including Tacey. This includes informing your customers that their order data may be processed for validation and correction purposes.
You are responsible for managing the customer experience related to order holds. While Tacey may send automated notifications, you are responsible for communication, timing, and final decision-making regarding order fulfillment.
All rights, title, and interest in Tacey, including its software, design, and underlying technology, are owned by ONDUTYOPS LLC. Your use of the application does not grant you ownership of any part of the service.
You are granted a limited, non-exclusive, non-transferable right to use Tacey solely for your internal business purposes within your Shopify store. This right exists only for as long as you comply with these Terms and maintain an active installation.
You must not copy, modify, distribute, or create derivative works based on Tacey. Any unauthorized use of the application or its components is strictly prohibited and may result in termination of access.
Tacey processes merchant and customer data strictly as described in its Privacy Policy. This includes order data, configuration settings, and limited customer information necessary to perform address validation and communication workflows.
ONDUTYOPS LLC acts as a data processor and does not use customer data for marketing or AI training. Data is processed only to provide the service and is handled in accordance with Shopify's API terms and data usage policies.
You acknowledge that third-party services are used to support certain features of the application. These services process data as required for functionality, and their involvement is described transparently in the Privacy Policy.
You agree to indemnify and hold harmless ONDUTYOPS LLC from any claims, damages, or losses arising from your use of Tacey. This includes claims related to your store operations, customer interactions, or failure to comply with applicable laws.
This obligation applies to any misuse of the service, including processing fraudulent orders or providing inaccurate data. It also applies to disputes between you and your customers that arise from order handling or communication.
ONDUTYOPS LLC does not control your business practices and relies on you to use the service responsibly. You accept full responsibility for how the application is used within your store.
To the fullest extent permitted by law, ONDUTYOPS LLC is not liable for any indirect, incidental, or consequential damages arising from your use of Tacey. This includes loss of revenue, loss of business, or delivery failures.
The service is provided on an as-is basis without guarantees of uninterrupted operation or perfect accuracy. While efforts are made to maintain reliability, no system is immune to errors or downtime.
In all cases, the total liability of ONDUTYOPS LLC is limited to the amount paid by you through Shopify for the use of Tacey during the relevant billing period. This limitation reflects the nature of the service and its role as a supporting tool.
You may terminate your use of Tacey at any time by uninstalling the application from your Shopify store. No notice period is required, and termination takes effect immediately upon uninstall.
Upon termination, Shopify sends a data deletion request to Tacey, which results in the permanent removal of all associated data within 48 hours. No data is retained beyond this period.
ONDUTYOPS LLC reserves the right to suspend or terminate access if these Terms are violated or if the service is used in a harmful or fraudulent manner. Termination may occur with or without prior notice depending on the severity of the situation.
These Terms may be updated from time to time to reflect changes in the service, legal requirements, or operational practices. Updates will be made available through the Tacey website.
Any changes will apply going forward and will not retroactively affect prior use of the service. You are responsible for reviewing these Terms periodically to stay informed.
Continued use of Tacey after updates are published constitutes acceptance of the revised Terms. If you do not agree with the changes, you must uninstall the application.
These Terms are governed by the laws of the State of Delaware, United States. Any disputes arising from or related to these Terms will be subject to the jurisdiction of courts located in Delaware.
You agree that any legal proceedings will be conducted in accordance with Delaware law, regardless of your location. This provides consistency in how disputes are handled.
Nothing in this section limits your rights under applicable consumer protection laws, where such laws apply.
